These Coordinate Services Terms and Conditions (these “Terms”) govern access to and use of the Coordinate Inc. (“Coordinate,” “we” or “us”) web sites and services (collectively, the “Site”) by site visitors (each, a “Site Visitor”, and collectively, “Site Visitors”) and by individuals or entities who purchase services available on the Site (such services, the “Coordinate Services” or the “Services”) or create an account on the Site (an “Account”) and their Authorized Users (such purchaser of Coordinate Services, each, a “Customer”, and collectively, “Customers”). By using the Site or any Coordinate Services, you as a Site Visitor or Customer accept these Terms (whether on behalf of yourself or a legal entity you represent).
1. Updates and Communications.
1.1. We may revise these Terms or any additional terms and conditions that are relevant to a particular Coordinate Service from time to time and for one or more reasons. We will provide an update notice regarding the revised Terms before the change becomes effective. If the change is insubstantial, we will post the revised terms on the Site with a “last updated” date.
1.2. You agree to receive all communications, agreements, and notices that we provide in connection with any Coordinate Services via electronic means.
2. Usage and Access Rights.
2.1. Eligibility to Use.
You represent and warrant that you are: (a) of legal age (18 years of age or older) and competent to agree to these Terms; and (b) you (or your Authorized Users, as applicable) are not and will not be located in, under the control of, or a national or resident of a U.S. embargoed country or territory.
2.2. Limited Access Right.
Upon your acceptance of these Terms, we grant you a limited, non-exclusive and non-transferable right to access and use the Site for your internal business purposes.
3. Ownership.
3.1. Intellectual Property.
The Site contains materials that are proprietary and are protected by copyright laws.
3.2. Software Use Restrictions.
Software available for downloading through the Site or third-party websites linked to the Site is the copyrighted work of Coordinate and third-party providers.
3.3. User Content.
Users may submit content, which grants us a nonexclusive, royalty-free, and fully sublicensable right to use such content throughout the world.
4. Restrictions on Use of the Site.
4.1. You agree not to engage in any activity that:
- Is illegal, or violates any federal, state, or local law or regulation;
- Is harmful, threatening, abusive, harassing, indecent, defamatory, obscene, or otherwise objectionable.
5. Privacy.
5.1. Coordinate Privacy Policy.
The information you provide will be used and protected as described in the Coordinate Privacy Policy found at https://coordinatehq.com/legal.html.
6. Terms Specific to Coordinate Services.
6.1. Right to Use Coordinate Services.
Subject to these Terms, Coordinate will provide the Coordinate Services to Customers in accordance with each Customer’s Subscription Plan.
8. Warranties and Disclaimers.
THE COORDINATE SERVICES, DOCUMENTATION, AND SITE ARE PROVIDED “AS IS” AND "AS AVAILABLE."
9. Indemnification Obligations.
You will defend, indemnify, and hold us harmless from any third-party claims arising from your access to and use of the Site.
10. Limitations of Liability.
10.1. Disclaimer of Consequential Damages.
COORDINATE WILL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO YOU FOR ANY CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE TRANSACTIONS CONTEMPLATED UNDER THESE TERMS.
11. General.
11.1. Third Party Content.
We may provide links to other third-party websites or services that are beyond our control.
11.10. Governing Law and Venue.
These Terms will be interpreted, construed, and enforced in accordance with the laws of the State of California, U.S.A.
